1. SPAM will NOT be tolerated in any form or fashion. This includes, but is not limited to, the following:
   • Sending of unsolicited email! YOU know what this is and it will not be tolerated. One strike, you're out and will forfeit ALL of your unpaid earnings. WE are very serious about this and will follow through with legal action if YOUR actions cost our business any down time.
   • Posting to any inappropriate newsgroups. You can post to these groups, but be sure that you are posting to the groups that allow business material. The same "strike rule" applies as above.
     
     The bottom line is, DO NOT USE the "Paynet Systems" name in any type of unsolicited communications that YOU may send. If you feel the need to do so, please use YOUR own name (or domain).
     
     NOTE: WE will investigate all reports of SPAM before taking action and YOU have the right to prove to us that YOU did not send or post any such messages. Remember, YOUR ID and the header of YOUR posted message tells all...
   
   
2. WE reserve the right to change our affiliate commission rate at any time. WE must provide YOU in writing (via the email address that YOU signed up with) during the current pay period of the rate change. In other words, we will not change it on accounts previously submitted.
   
   The following is Paynet Systems current affiliate commission rate.
   
   $50.00 per merchant account that is approved and activated using "Option 1" pricing.
   $100 per merchant account that is approved and activated using "Option 2" pricing.
   
   Commissions will not be paid on accounts that failed our approval process. Additionally, if you do not receive commission on a referred account, it is because the account was not approved. Please keep in mind, we understand in order to have a successful affiliate program we must pay our affiliates. We will process all commissions earned quickly as possible.
   
   
3. Either party (Paynet Systems or the Affiliate) may cancel this agreement at anytime. If WE decide to cancel this agreement, all earned commission will be due to YOU within 45 days of cancellation, WITH THE EXCEPTION of the NO SPAM rule above.
   
4. YOU must obtain permission and approval from US before changing/altering any of our graphics. WE welcome your ideas and appreciate your suggestions. Just let us see them first. 99% of the time, we'll go with your ideas!
   
5. We use your IP address to help diagnose problems with our server, and to administer our Web site. Your IP address is used to help identify you.
   
6. Our site uses cookies to keep track of visits.
   

Other Legal Conditions:

1. Each party shall be deemed to be independent contractors with respect to the subject matter of this Agreement, and nothing contained in this Agreement shall be deemed or construed in any manner as creating any partnership, joint venture, employment, agency, fiduciary or other similar relationship. YOU will be responsible for all owed taxes on "commissions" and will be sent a 1099 Earnings Statement.
   
2. You may not assign your rights or obligations under this Agreement to any other party.
   
3. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Georgia without regard to the conflicts of laws and principles thereof. You consent to the exclusive jurisdiction in the state and/or federal courts located Atlanta, Georgia, in any dispute involving this Agreement.
   
4. You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.
   
5. This Agreement represents the entire agreement between Paynet Systems and you the Affiliate, and shall supersede all prior agreements and communications of the parties, oral or written.
   
6. The headings and titles contained in this Agreement are included for convenience only, and shall not limit or otherwise affect the terms of this Agreement.
   
7. Paynet Systems reserves the right to refuse any applicant, or terminate the affiliate contract at any time, for any reason.
   
   NOTE: It is VERY IMPORTANT that you understand our SPAM Policy! We are very SERIOUS about this and will prosecute to the fullest extent in order to recover all losses.
